1. Definitions

​

• "Client" refers to the individual or entity engaging Webify Designer for website design, editing, and marketing services.

• "Company" refers to Webify Designer, including all its employees, subcontractors, and affiliates.

• "Services" include website design, development, editing, marketing, and any related services provided by Webify Designer.

• "Deliverables" refer to the tangible or intangible results produced through our services, including designs, content, campaigns, and websites.

 

2. Scope of Services

Webify Designer agrees to provide the services specified in the agreement between the Client and the Company. The exact scope of work, deliverables, and project timeline will be outlined in a signed proposal or contract. Any additional services requested by the Client may incur additional costs and will require a separate agreement or amendment.

 

3. Client Responsibilities

​

The Client agrees to:

• Provide accurate and complete information, materials, and resources necessary for the completion of the services.

• Respond promptly to communications and provide timely approvals to avoid delays in project timelines.

• Ensure that any content or material provided to the Company does not infringe on any third-party rights, including intellectual property.

 

4. Payment Terms

​

• A deposit of 50% of the total project cost is required before the commencement of work, unless otherwise agreed.

• The remaining balance must be paid according to the agreed payment schedule or upon the completion of milestones outlined in the proposal/contract.

• Late payments may incur a late fee of 15% per month on outstanding balances.

• Any additional services requested beyond the agreed scope of work will be billed separately.

• All payments are non-refundable unless specified otherwise.

• By entering your payment details, you acknowledge that you take full responsibility for any errors, and we will not be liable for any lost funds. 

 

5. Revisions and Modifications​​

​

• The Client acknowledges that any major changes to the scope or direction of the project after initial approval may extend the project timeline and increase costs.

 

6. Intellectual Property

​

• Upon full payment, we will publish your website and will continue keeping it online until payments are late or not paid in full

• Webify Designer retains the right to display the deliverables as part of its portfolio for marketing purposes unless otherwise agreed upon.

• Any unused concepts or designs remain the property of Webify Designer and cannot be used by the Client without written consent.

 

7. Cancellation and Termination

• Either party may terminate the agreement with 5 days' written notice if the other party breaches the terms of the agreement.

• Upon termination, the Client will be billed for work completed up to the termination date. Any unpaid fees for work already completed will remain due.

• The Company reserves the right to terminate services immediately if the Client engages in unethical, unlawful, or harmful activities or fails to comply with these terms.

 

8. Confidentiality

Webify Designer agrees to maintain the confidentiality of any proprietary or sensitive information provided by the Client. The Client agrees not to disclose or share any confidential information regarding Webify Designer's pricing, processes, or business practices with third parties without written consent.

 

9. Limitation of Liability

​

• Webify Designer will not be held liable for any damages, including loss of revenue, data, or reputation, arising from the use of the deliverables or any delays in the delivery of services, except were caused by gross negligence or willful misconduct.

• The Client agrees to indemnify and hold Webify Designer harmless from any claims, liabilities, or damages resulting from the use of any materials or information provided by the Client.

 

10. Force Majeure

​

Webify Designer will not be liable for any delays or failures in delivering services due to causes beyond its reasonable control, such as acts of God, natural disasters, strikes, or technical failures.

 

11. Amendments

​

These Terms and Conditions may be amended or modified by Webify Designer from time to time, with or without notice. The latest version will always be available on the Company's website.

 

12. Entire Agreement

​

This agreement constitutes the entire understanding between Webify Designer and the Client regarding the services. Any other agreements, whether oral or written, are void unless they are incorporated in a signed written agreement.
